These Terms and Conditions govern your engagement with Verdic Lane and the use of our legal services. Please read them carefully. By instructing us or using our website, you acknowledge that you have read and understood these terms.

Definitions

Throughout these Terms and Conditions, the following words carry the meanings set out below:

  • "Verdic Lane" / "we" / "us" / "our" — refers to Verdic Lane, a legal services firm registered in Malaysia and operating from 10 Jalan Stonor, 50450 Kuala Lumpur.
  • "Client" / "you" / "your" — refers to any individual, company, or organisation that engages our services or accesses our website.
  • "Services" — refers to the legal and advisory services provided by Verdic Lane, including Immigration and Work Permit Advisory, Regulatory Compliance Review, and Notarisation and Legal Documentation.
  • "Agreement" — refers to the engagement letter or written instruction issued and accepted between Verdic Lane and the Client, together with these Terms and Conditions.
  • "Website" — refers to the website operated at verdiclane.club.
  • "Content" — refers to all documents, reports, templates, correspondence, and materials prepared or delivered in connection with the Services.

Acceptance of Terms

By instructing Verdic Lane, submitting an enquiry through our website, or signing an engagement letter, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions.

If you are acting on behalf of a company or organisation, you represent that you have the authority to bind that entity to these terms.

Our Services are intended for individuals aged 18 years and above, or companies and organisations acting through authorised representatives with full legal capacity to enter into binding agreements.

If you do not agree with any part of these terms, we ask that you not proceed with instructing us and contact us to discuss your concerns before engaging.

Description of Services

Verdic Lane provides legal advisory and documentation services in Malaysia, including:

  • Immigration and Work Permit Advisory — assistance with Employment Pass, Dependent Pass, Professional Visit Pass, and Long-Term Social Visit Pass applications, renewals, and transfers.
  • Regulatory Compliance Review — assessment of a business's compliance posture, covering company secretarial obligations, PDPA 2010 considerations, licensing conditions, and sector-specific requirements.
  • Notarisation and Legal Documentation — notarisation, attestation, apostille facilitation, and drafting of standard legal documents including tenancy agreements, loan agreements, and memoranda of understanding.

Service availability is subject to the laws of Malaysia and the specific circumstances of each matter. Verdic Lane reserves the right to decline any instruction at its discretion without being required to provide reasons.

The scope of each engagement will be defined in the relevant engagement letter or written instruction accepted by both parties.

Client Responsibilities

To enable Verdic Lane to act effectively on your behalf, you agree to:

  • Provide accurate, complete, and up-to-date information as requested throughout the engagement.
  • Notify us promptly of any changes to information previously provided.
  • Respond to requests for documents, instructions, or clarifications within a reasonable timeframe.
  • Use our Services only for lawful purposes and in accordance with applicable Malaysian law.
  • Not use our Services to facilitate any activity that is unlawful, deceptive, or harmful to third parties.
  • Ensure that all persons whose personal data you provide to us have consented to such disclosure or that a lawful basis exists under the PDPA 2010.

Verdic Lane accepts no responsibility for delays, errors, or adverse outcomes arising from inaccurate or incomplete information provided by the Client.

Intellectual Property

All Content prepared and delivered by Verdic Lane in connection with your matter is provided for your personal or internal business use only. Unless expressly agreed otherwise in writing, Verdic Lane retains all intellectual property rights in its work product, precedents, templates, and methodologies.

You are granted a limited, non-exclusive, non-transferable licence to use Content delivered to you solely for the purpose for which it was prepared. You may not reproduce, republish, adapt, or distribute such Content for any other purpose without our prior written consent.

All website content, branding, and materials at verdiclane.club remain the property of Verdic Lane. Nothing on this website constitutes legal advice, and no lawyer-client relationship is formed through website use alone.

Payment Terms

Our fees are quoted in Malaysian Ringgit (MYR) and are set out in the engagement letter for each matter. Indicative fees are as follows:

  • Immigration and Work Permit Advisory: from MYR 2,400
  • Regulatory Compliance Review: from MYR 3,000
  • Notarisation and Legal Documentation: from MYR 800

Government fees, disbursements, and third-party charges are payable separately and will be communicated to you in advance where possible.

Payment is due upon receipt of invoice unless otherwise agreed in writing. We accept payment by bank transfer to our designated account. Details will be provided at the commencement of the engagement.

Where a deposit is required before work commences, this will be stated in the engagement letter. Any unused portion of a deposit will be refunded upon conclusion of the matter, subject to deduction of fees and disbursements properly incurred.

Verdic Lane reserves the right to suspend or terminate an engagement where invoices remain outstanding for more than 30 days.

Service-Specific Terms

Immigration Advisory

Outcomes in immigration matters are subject to the discretion of the relevant Malaysian authorities, including the Immigration Department and the Expatriate Services Division. Verdic Lane does not represent or imply that any application will be approved. Timelines provided are estimates based on current processing conditions and may change without notice. The Client is responsible for ensuring all personal information and supporting documents submitted are accurate.

Regulatory Compliance Review

The compliance review is based on information and documents provided by the Client and reflects our assessment at the time of review. It does not constitute a comprehensive legal audit and should not be relied upon as a complete assurance of compliance. Regulatory requirements change; the Client is responsible for monitoring ongoing developments. The review is tailored to the matters within the agreed scope and does not extend to areas outside that scope.

Notarisation and Legal Documentation

Notarisation is performed by a qualified notary public in accordance with Malaysian law. Apostille facilitation involves submission to the relevant Malaysian authority and the actual issuance of the apostille is subject to that authority's review and approval. Drafted documents such as tenancy agreements and memoranda of understanding are standard-form documents; Clients should seek specific legal advice if their circumstances require bespoke terms. Verdic Lane does not provide advice on the tax implications of any documentation.

Disclaimers

Our Services are provided on the basis of information available at the time and in accordance with the agreed scope of work. While we take care to provide considered advice, legal and regulatory matters are inherently subject to uncertainty.

Nothing in our communications or on our website constitutes a representation that a particular result or outcome will be achieved. Any indication of timelines, costs, or likely outcomes is given in good faith as an estimate only.

Our website is provided for informational purposes. Content on the website does not constitute legal advice and does not establish a lawyer-client relationship. For advice on any specific matter, please contact us directly to discuss an engagement.

Limitation of Liability

To the fullest extent permitted by Malaysian law, Verdic Lane's aggregate liability to the Client in connection with any single matter shall not exceed the total fees paid by the Client for the Services in respect of that matter.

Verdic Lane shall not be liable for any indirect, consequential, incidental, or special loss or damage arising from the Services, including loss of profit, loss of business, or loss of opportunity, even if we have been advised of the possibility of such loss.

We are not responsible for delays, decisions, or actions of third parties including government authorities, regulatory bodies, or other agencies whose conduct is outside our control.

Nothing in these Terms limits or excludes liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be excluded under Malaysian law.

Indemnification

You agree to indemnify and hold harmless Verdic Lane, its principals, associates, and staff from and against any claims, losses, liabilities, costs, or expenses (including reasonable legal fees) arising from:

  • Your breach of these Terms and Conditions.
  • Your provision of inaccurate, incomplete, or misleading information to Verdic Lane.
  • Your use of the Services in a manner that is unlawful or in violation of any applicable regulation.
  • Any third-party claim arising from your use of documents or Content delivered by Verdic Lane beyond the agreed scope or purpose.

Termination

Either party may terminate an engagement by providing written notice. Termination does not affect any fees or disbursements already incurred up to the date of termination.

Verdic Lane may suspend or terminate Services with immediate effect and without liability where:

  • The Client provides materially inaccurate or misleading information.
  • Continuing the engagement would, in our assessment, require us to act in breach of our professional obligations or applicable law.
  • Fees remain outstanding for more than 30 days beyond the due date.

Upon termination, we will provide the Client with copies of documents and materials held on their behalf, subject to settlement of outstanding fees.

Provisions in these Terms relating to payment, intellectual property, limitation of liability, and dispute resolution survive termination.

Dispute Resolution

These Terms and Conditions are governed by and construed in accordance with the laws of Malaysia.

In the event of any dispute arising from or in connection with these Terms or the Services provided, both parties agree to first attempt resolution through good-faith discussion. Either party may initiate this by writing to the other setting out the nature of the dispute and a proposed resolution.

If informal resolution is not achieved within 30 days of written notice, either party may refer the matter to mediation conducted under the rules of the Malaysian Mediation Centre before commencing any court proceedings.

The courts of Malaysia shall have non-exclusive jurisdiction over any dispute that proceeds to litigation.

Nothing in this clause prevents Verdic Lane from seeking urgent injunctive or equitable relief from a competent court where necessary to protect its legitimate interests.

General Provisions

Entire Agreement. These Terms and Conditions, together with any engagement letter, constitute the entire agreement between the parties with respect to the subject matter and supersede all prior discussions, representations, or agreements.

Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Waiver. Failure by either party to enforce any provision of these Terms shall not constitute a waiver of that party's rights to enforce that provision in future.

Assignment. You may not assign or transfer any rights or obligations under these Terms without our prior written consent. We may assign or transfer our obligations where this does not materially affect the quality of service delivered to you.

Notices. Formal notices should be sent by email to [email protected] or by post to our registered office at 10 Jalan Stonor, 50450 Kuala Lumpur.

Force Majeure. Neither party shall be liable for delays or failure to perform resulting from causes beyond their reasonable control, including natural events, changes in law, or actions of government authorities.

Language. These Terms are prepared in English. In the event of any conflict between an English version and any translated version, the English version prevails.

Changes to These Terms

Verdic Lane may update these Terms and Conditions from time to time to reflect changes in our services, legal requirements, or operational practices. The updated version will be published on our website with a revised effective date.

Where changes are material, we will make reasonable efforts to notify active clients by email. Your continued engagement with us after any changes take effect constitutes your acceptance of the revised terms.

We encourage you to review these Terms periodically. The date at the top of this page indicates when these Terms were last updated.
